We mainly set up limited liability GmbH companies (Gesellschaft mit beschränkter Haftung), and UG companies (haftungsbeschränkt). The minimal share capital of a GmbH company is 25.000 €, ( when registering a new company we are setting up we can pay half of the share capital, so 12.500 € ). However, the minimal capital of a UG company can be 1 €.
UG companies with available capital less than 300 € are hardly ever set up. This kind of company can be set up on the condition that the partners obligate themselves to 20% of profit write-offs a year and pay it towards share capital contributions to the amount of 25.000 €. Then, a UG company, with the share capital paid up in such a manner, can be converted to a GmbH company upon the partners’ request.
We prepare the company contract, all the documents needed for registration, and we get the opinion and confirm the name of the company by the IHK (the German Chamber of Industry and Commerce). Then, we apply the company for registration with the HRB (Commercial Register), open a bank account and decide on company headquarters ( Virtual Office ). We apply the registered company for business activity registration done by the local administrative authority. The price of setting up a company starts from 2.290 €.
